Welcome to https://app.syla.systems (the “Website” or “Platform”). These Terms of Service (“Agreement”) are entered into by and between Wasilah LLC, a North Carolina limited liability company (“Company,” “we,” “us,” or “our”), and you (“you” or “User”).

This Agreement governs your access to and use of the Syla platform, including all software, tools, features, content, subscriptions, digital products, configurations, snapshots, materials, and services offered through the Platform (collectively, the “Services”).

By accessing or using the Services, or by clicking “accept” or “agree” when prompted, you agree to be bound by this Agreement. If you do not agree, you may not access or use the Services.

Eligibility

You must be at least eighteen (18) years old to use the Services. You may use the Services as an individual, freelancer, independent contractor, or on behalf of a business entity. By using the Services, you represent and warrant that you have the legal capacity and authority to enter into this Agreement.

The Services are available to users in the United States and internationally. You are responsible for ensuring compliance with any local laws applicable to your use of the Services outside the United States.

Changes to These Terms

We may update or modify this Agreement from time to time in our sole discretion. Changes will be effective upon posting to the Platform. Your continued use of the Services after changes are posted constitutes acceptance of the updated Agreement.

Access to the Services

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We are not liable for any loss or damage resulting from the unavailability or modification of the Services.

You may be required to create an account to access certain features. You agree to provide accurate, current, and complete information and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account.

You may not transfer or share your account without our prior written consent. We are not responsible for losses arising from unauthorized account access resulting from your failure to safeguard your credentials.

We reserve the right to suspend or terminate your account at any time for violation of this Agreement or for any lawful reason, with or without notice.

Use of the Services

You agree to use the Services only for lawful purposes. You may not use the Services in a manner that interferes with, disrupts, or harms the Company, the Platform, or other users.

Prohibited activities include, but are not limited to: violating applicable laws or regulations; sending spam or unauthorized communications; impersonating others; exploiting or harming minors; attempting unauthorized access to systems; distributing malware; reverse engineering the Services; scraping or harvesting data; or using the Services to build a competing product.

User Content

You are solely responsible for all data, content, communications, and materials you upload or process through the Services (“User Content”). You represent and warrant that you have all necessary rights and permissions to collect, store, process, and use such User Content.

You retain ownership of your User Content. However, you grant the Company a non-exclusive, royalty-free, worldwide, perpetual license to host, process, use, and display User Content solely as necessary to operate, improve, and provide the Services.

We are not responsible for User Content or for disputes between users. You use the Services at your own risk.

Content Standards

User Content must not violate any laws, infringe intellectual property rights, promote illegal or harmful activity, contain defamatory or obscene material, misrepresent identity, or falsely imply endorsement by the Company.

We reserve the right to remove or restrict User Content and to suspend or terminate access for violations of these standards.

Intellectual Property

All intellectual property rights in the Services, including software, designs, text, graphics, logos, and functionality, are owned by the Company or its licensors. This Agreement does not grant you ownership of any intellectual property.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services during the term of this Agreement in accordance with these terms.

Purchases, Subscriptions, and Payments

The Services may include subscriptions, services, and digital products. Prices and payment terms are disclosed at checkout.

Payments are processed through third-party payment processors such as Stripe and ACH providers. We do not store full payment card or banking information.

Subscriptions begin upon payment and renew automatically unless canceled prior to renewal. You may cancel recurring subscriptions at any time, effective at the end of the current billing period.

All sales are final. Fees are non-refundable once a service, subscription period, or digital product (including snapshots or configurations) has been delivered or access has been granted, except where required by law or expressly agreed by the Company in writing.

Failure to complete payment may result in suspension or termination of access.

Communications and SMS

By providing contact information, you consent to receive transactional, service-related, and administrative communications, including email and SMS messages.

Message and data rates may apply. You may opt out of SMS communications at any time by replying STOP. For assistance, reply HELP or contact [email protected].

Mobile information will not be shared with third parties for marketing purposes.

Privacy

Your use of the Services is subject to our Privacy Policy, available at https://app.syla.systems. By using the Services, you consent to the collection and use of information as described in the Privacy Policy.

Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

We do not guarantee that the Services will be uninterrupted, secure, or error-free.

Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Services.

Your sole remedy for dissatisfaction with the Services is to stop using them.

Indemnification

You agree to indemnify and hold harmless the Company and its affiliates from any claims, damages, losses, liabilities, and expenses arising from your use of the Services, your User Content, or your violation of this Agreement.

Arbitration and Dispute Resolution

This Agreement is governed by the laws of the State of North Carolina, without regard to conflict of law principles.

Any dispute arising out of or relating to this Agreement or the Services shall be resolved by binding arbitration administered by the American Arbitration Association in Wake County, North Carolina, before a single arbitrator. The arbitrator’s decision shall be final and binding.

You waive the right to a jury trial and to participate in any class action or representative proceeding.

Limitation Period

Any claim arising out of or relating to this Agreement or the Services must be brought within one (1) year after the claim arises.

Miscellaneous

This Agreement constitutes the entire agreement between you and the Company regarding the Services. If any provision is found unenforceable, the remaining provisions will remain in effect.

You may not assign this Agreement without our prior written consent. We may assign this Agreement freely.

No agency, partnership, or joint venture is created by this Agreement.
